Chapter I General Provisions
Article 1 Name
The Chinese name of the Alliance is the "安保與風險管理企業國際聯盟(澳門)", the English name is the "International Alliance of Security & Risk Management Companies (Macau)", and the English abbreviation is "IASRMC".
Article 2 Mission of the IASRMC
The Alliance is a non-profit organization following the purpose and principles of the International Code of Conduct for Private Security Service Providers (ICoC), the Alliance aims to ally members or members-to-be of the International Code of Conduct for Private Security Service Providers Association (ICoCA) along with other relevant stakeholders to promote and augment best practices across the private security industry in compliance with international law and applicable standards. The Alliance is committed to building a multilateral business cooperation platform facilitating member companies' joint development and promotion of combined security and risk management solutions in complex environments around the world.
Article 3 Seat of the Alliance
The seat of the Alliance is located at Block Q, 13 / F, Tower 3, Lok Chun Ying Xuan, 35 Foshan Street, Taipa, Macau.
Chapter 2 Members
Article 4 Membership
Any person or entity who agrees with the purpose and Constitution of the Alliance may apply for membership of the Alliance. Membership may be granted upon approval of the Alliance.
Article 5 Rights and Obligations of members
(1) Members have the right to vote,stand for election, and enjoy the rights of all activities and welfare organized by the Alliance.
(2) Members have the obligation to abide by the Constitution and resolutions of the Alliance and to pay membership fees.
Chapter III Organizational Structure
Article 6 Structure
The structure of this Alliance includes the General Assembly, the Board of Directors, and the Board of Supervisors.
Article 7 General Assembly
(1) The supreme authority of this Alliance is the General Assembly, which is responsible for formulating or amending the Constitution of the Alliance; To elect the Chairman, Vice-Chairman, Secretary and members of the Board of Directors and the Board of Supervisors; To decide on policies for the affairs of the General Assembly; To examine and approve reports on the work of the Alliance.
(2) The General Assembly shall have a President, a Vice-President and a Secretary. Their terms of office shall be three years and may be re-elected consecutively.
(3) The general meeting of members shall be held once a year and shall be convened at least eight days in advance in person or by registered mail or by signature . The notice shall indicate the date, time, place and agenda of the meeting. A special general meeting may be convened in case of important or special matters.
(4) A resolution to amend the Articles of Association shall be approved by a vote of three fourths of the members present; A resolution to dissolve the Association shall be approved by a vote of three fourths of all members.
(5) The General Assembly may make internal rules of the Alliance, subject to the principle of not violating the provisions of the law and the constitution of the Alliance. The authority to interpret, amend and pass the internal rules and regulations shall be vested in the General Assembly.
Article 8 Board of Directors
(1) The executive body of the Alliance shall be the Board of Directors, which shall be responsible for implementing the resolutions of the General Assembly and the daily affairs of the General Assembly.
(2) The Board of Directors shall be composed of at least three or more natural persons representing members or themselves members, with a Chairman, a Vice-Chairman and a director. Each term of office shall be three years and may be re-elected consecutively.
(3) The meeting of the Board of Directors shall be held every three months. No decision may be taken at such meeting unless a majority of the members of the Board of Directors are present. A resolution shall only be valid if it is approved by an absolute majority of the members present.
Article 9 The Board of Supervisors
(1) The supervisory body of the Alliance shall be the Board of Supervisors, which shall be responsible for supervising the regular operation of the Board of Directors and its financial revenues and expenditures.
(2) The Board of Supervisors shall be composed of at least three or more natural persons representing members or themselves members, including a Chief Supervisor, Deputy Supervisor and a Associate Supervisor. Each term shall be three years and may be re-elected consecutively.
(3) The meeting of the Board of Supervisors shall be held every three months. No matter may be decided at the meeting unless more than half of the members of the Board of Supervisors are present. A resolution shall be valid only if it is approved by an absolute majority of the members present.
Chapter IV Supplementary Provisions
Article 10 Capitalization
The funds of the Alliance shall come from members' dues and/or donations, and/or proceeds from events and/or activities of the Alliance. In case of insufficient funds or extra budgetary needs, the Alliance may decide to raise funds from members or from the public or from grants or other activities.
